DataGridXL Software License Agreement

1. Introduction

This license agreement (“License”) is a binding legal agreement between you (either as an individual or as a single entity) and DataGridXL governing your use of the DataGridXL software and any accompanying documentation (collectively, “the Software”).

2. Acceptance of Terms

By installing or using the Software, you agree to be bound by the terms of this License. If you do not agree, do not install or use the Software.

3. License Grant

For Single App License:

DataGridXL grants you a non-exclusive, non-transferable license to install and use the Software on one (1) website or one (1) redistributable software product.

For Multi App License:

DataGridXL grants you a non-exclusive, non-transferable license to install and use the Software on multiple websites and/or redistributable software products.

4. Permitted Uses

For Single App License:

• Use on any number of copies of the same website for testing and development.
• Use on any number of physical or virtual servers.
• Use on any number of web pages within the same website.
• Use by any number of end users and developers specified by the license.

For Multi App License:

• Use on any number of websites or software applications.
• Use on any number of copies of the same website or application for testing and development.
• Use on any number of physical or virtual servers.
• Use on any number of web pages within the same website or application.
• Use by any number of end users and developers specified by the license.

5. Prohibited Uses

• Do not distribute the Software on its own.
• Do not transfer the Software to others or allow others to use it.
• Do not include the Software in development tools or software rebranded by third parties.
• Do not modify the core functionality of the Software.

6. Updates and Support

Your License includes one (1) year of version updates and Premium Support from the purchase date. Updates are minor enhancements or bug fixes. Upgrades, which add major new features, are not included and may require an additional fee.

7. Proprietary Rights

All intellectual property rights in the Software are owned by DataGridXL. You shall not remove any product identification, copyright notices, or proprietary restrictions from the Software.

8. Limitation of Liability

To the maximum extent permitted by law, DataGridXL’s liability is limited to the amount paid for the Software or EUR 500.00, whichever is greater. DataGridXL is not liable for any special, incidental, indirect, or consequential damages.

9. Termination

This License is effective until terminated. You may terminate it by destroying the Software and all copies. DataGridXL may terminate this License if you fail to comply with any term or condition.

10. Governing Law

If you are a resident of or a company based in the US or EU, this License is governed by the laws of your jurisdiction. Otherwise, it is governed by the laws of the Netherlands.

11. Entire Agreement

This License constitutes the entire agreement between you and DataGridXL regarding the Software and supersedes all prior communications and representations. In case of any conflict between the terms of this License and any DataGridXL policies or support services, the terms of this License shall govern.
