DataGridXL Software License Agreement
1. Parties and software
This Software License Agreement is a binding agreement between DataGridXL and the individual or legal entity using DataGridXL. The software includes the DataGridXL JavaScript package, downloadable builds, examples and documentation supplied by DataGridXL.
2. Acceptance
By installing, copying, downloading or using DataGridXL, you accept this license. If you do not agree, do not use the software.
3. Evaluation use
You may use DataGridXL without payment for internal evaluation, prototypes and proof-of-concept work. Evaluation use does not allow production use, customer-facing use, paid services, redistribution or use in software that is made available outside your organization.
4. Commercial license grant
Subject to payment and compliance with this license, DataGridXL grants you a non-exclusive, non-transferable commercial license to use DataGridXL in one product. A product means one distinct software product, SaaS product, internal tool, website, application or redistributable application offered under one product identity. Modules, environments and customer deployments of that same product are included. Separate products, applications, internal tools or separately branded customer solutions require separate licenses unless covered by a separate written multi-product agreement.
5. Environments, developer seats and end users
The licensed product may run in development, staging, testing, preview and production environments. You may deploy the same licensed product on any number of servers and make it available to any number of employees, customers or end users of that product. Every frontend developer assigned to or contributing to the licensed product must be covered by a purchased named developer seat. Frontend developers include employees and contractors who write, review, test, maintain or deploy frontend code for the licensed product during the subscription term. Seats are not concurrent, shared or floating unless a separate written agreement says otherwise. Backend-only developers, designers, QA testers, product managers and users who do not write frontend code for the licensed product do not need seats.
6. Distribution
You may bundle DataGridXL with the licensed product only as needed for normal operation of that product. You may not distribute DataGridXL as a standalone file, library, package, SDK, template, starter kit or development tool.
7. Restrictions
You may not sublicense, resell, rent, lease, publish, share or transfer DataGridXL except as part of the licensed product. You may not use DataGridXL to build a directly competing data grid, spreadsheet component, grid builder or reusable developer component. You may not remove copyright, license, product identification or security mechanisms.
8. Ownership
DataGridXL remains the owner of all intellectual property rights in the software. This license gives you usage rights only. It does not transfer ownership of the software or source code.
9. Annual subscription, updates and support
A commercial license is an annual subscription unless a separate written agreement states otherwise. While the subscription is active, it includes commercial production usage rights, version updates and support. If the subscription is not renewed, your right to production use, updates and support ends. Continued production use requires an active subscription unless a separate written agreement states otherwise.
10. Support scope
Support covers DataGridXL usage questions, bug reports, version updates and reasonable integration guidance for the licensed product. Support does not include custom feature development, application development, consulting, guaranteed response times, service-level agreements or support for unrelated third-party systems unless separately agreed in writing.
11. Warranty disclaimer
DataGridXL is provided as-is except where mandatory law requires otherwise. DataGridXL does not guarantee that the software will be error-free or fit every possible use case.
12. Limitation of liability
To the maximum extent permitted by law, DataGridXL is not liable for indirect, incidental, special, consequential or business interruption damages. DataGridXL's total liability is limited to the amount paid for the license in the twelve months before the claim, or EUR 500, whichever is greater.
13. Termination
This license terminates automatically if you materially breach its terms and do not cure the breach after written notice. After termination, you must stop using DataGridXL and remove it from products where you no longer have usage rights.
14. Governing law
Unless mandatory law says otherwise, this license is governed by the laws of the Netherlands, without regard to conflict-of-law rules.
